SUMMARY
Jason is a shareholder of the Davis Brown Law Firm in the Business Law Division. He has a general practice in, but not limited to, Commercial Transactions, Mergers and Acquisitions and Distribution and Franchise Law. Prior to joining the firm, he practiced law in Milwaukee, Wisconsin at an Am Law 50 firm, where he had a similar practice.
Jason advises on a full spectrum of commercial and corporate matters affecting businesses. Commerical matters include purchase and sale of goods and services, licensing, joint ventures, commercial agency, product distribution and franchise. These commercial matters are frequently cross-border in nature. He routinely provides advice on corporate matters such as formation, acquisition, disposition and financing of private companies.
REPRESENTATIVE ENGAGEMENTS
His clients include franchisors, manufacturers, and vendors of a diverse array of goods and services, including food items, packaging materials, telecommunications services, agricultural products, and engine parts. Jason counsels franchisors on registration, disclosure, termination and other general business and legal needs. He assists clients with general commercial matters such as supply agreements, sales representation agreements, licensing agreements, distribution agreements and terms and conditions of sale. He also counsels clients on the termination of distribution and sales representation arrangements. Jason has advised clients in acquisition transactions and joint ventures in a variety of industries, including telecommunications, medical equipment, bio-technology and traditional manufacturing.
SEMINARS, LECTURES, AND PUBLICATIONS
Jason has written on trade regulation matters such as franchising, financial privacy and internet advertising. He has held presentations concerning cross-border transactions, the use of standard form contracts for business and other topics for businesses.
OF NOTE
Jason lived in Germany while he participated in the Congress-Bundestag Exchange Program, and he speaks German proficiently. Jason is active in Lex Mundi, an international association of independent law firms, and works to develop relationships with legal professionals outside the United States to assist clients with cross-border transactions and international trade matters.
MEMBERSHIPS
Jason is a member of the American Bar Association’s Forum on Franchising and Business Law Section. He is also a member of the Section Council of the Iowa State Bar Association's International Section.
COMMUNITY
Jason currently serves as a director and executive committee member for the Iowa International Center. He is also an area representative for YFU International Exchange and a member of the International Traders of Iowa.
PERSONAL
Outside of work, Jason enjoys spending time with his family, traveling and skiing.
